Article 1 – Purpose and scope

These terms of use (the “Terms”) govern access to and use of:

  • the tridyme.com website (the “Site”);
  • the TriDyme platform, available in particular at platform.tridyme.com, including the asset register (Atlas), the modelling and calculation tools (Norma) and the AI workflows (Forge) (the “Platform”);
  • the TriDyme App Store, which provides self-service calculation applications (the “Applications”).

These services are published by TriAzur SAS, operating the TriDyme brand, a French SAS with a share capital of €16,667, registered with the Pontoise Trade and Companies Register under number 832 851 695, whose registered office is at 5 rue de la Chaise, 95300 Livilliers, France, and whose full details are given in the legal notice (“TriDyme”).

The services are intended exclusively for professionals (companies, engineering firms, operators, public bodies, independent engineers…). They are not offered to consumers.

Where a client has signed a commercial proposal, purchase order, contract or special conditions with TriDyme (together, the “Contract”), the Contract prevails over these Terms in case of conflict. The Terms apply to everything the Contract does not cover. These Terms are a translation of the French version, which prevails in case of discrepancy.

Article 2 – Definitions

  • Client: the legal entity or professional using the Platform or the Applications, directly or through its Users.
  • User: any individual authorised by the Client to access the services with personal credentials.
  • Client Data: documents, technical data, models, parameters and information imported, entered or generated by or for the Client in the services.
  • Results: analyses, calculation notes, models, drawings, reports and other deliverables produced with the services.
  • AI Proposals: extractions, matches, corrections and other proposals generated automatically by the Platform’s agents.

Article 3 – Access to the services and accounts

3.1 The Site is freely accessible. Access to the Platform and the Applications requires an account.

3.2 The Client ensures that the information provided when creating accounts is accurate. Credentials are personal and confidential: each User is responsible for keeping them safe, and the Client is liable for their use by its Users. Any unauthorised use must be reported without delay to contact@tridyme.com.

3.3 The Client appoints Users and sets their access rights within the limits of its subscription. Where the company’s single sign-on (SSO) is used, its rules also apply.

Article 4 – Description of the services

4.1 Platform. The Platform makes it possible, in particular, to describe the Client’s assets in an ontology, connect existing systems, structure documents, run portfolio analyses, modelling and calculations, and execute workflows combining AI agents and human approval steps. The exact scope of features, connectors and volumes is set out in the Contract.

4.2 App Store and Applications. The Applications are calculation and modelling tools used on a self-service basis under the plans shown on the Pricing page. Some Applications may be published by third parties, in which case their author is indicated.

4.3 Engineering services. Services performed by TriDyme engineers (calculation notes, audits, BIM modelling, reinforcement studies, works…) are covered by a specific quote or Contract setting out their content, timeline and price.

4.4 TriDyme continuously improves its services. It may change a feature provided this does not substantially reduce the services subscribed by the Client during its commitment period.

Article 5 – Fees and payment

5.1 Applicable prices are those on the Pricing page for self-service plans, or those in the Contract. They exclude taxes.

5.2 Unless otherwise agreed in the Contract, subscriptions are payable in advance and services according to the schedule in the quote. Invoices are payable within thirty (30) days of their issue date.

5.3 Any late payment automatically gives rise, after a formal notice that remains unanswered for fifteen (15) days, to late-payment interest at the European Central Bank’s most recent refinancing rate plus ten percentage points, and to the €40 fixed recovery fee provided for by Article L. 441-10 of the French Commercial Code. TriDyme may also suspend access to the services after fifteen (15) days’ notice.

5.4 Subscription prices may be revised once a year, on the anniversary date of the Contract, based on changes in the Syntec index, after informing the Client at least one (1) month in advance. App Store tokens are prepaid; each run of an app consumes the number of tokens displayed before it is launched. Tokens purchased are neither refundable nor convertible into cash.

Article 6 – Client Data

6.1 Ownership. The Client remains the sole owner of the Client Data and of the Results delivered to it. It warrants that it holds the rights needed to import and process them in the services.

6.2 Licence. The Client authorises TriDyme to host, reproduce and process Client Data solely to provide, secure, maintain and improve the services provided to it, for the duration of the Contract.

6.3 Isolation and confidentiality. Client Data is only accessible to the Client, its Users and the authorised TriDyme staff who need it to perform the services. It is never disclosed to another client. Client Data is never used to train third-party AI models; any learning performed on that data is reserved for the services provided to the Client.

6.4 Reversibility. At the end of the Contract, the Client may retrieve its Data and Results in a standard format for thirty (30) days. After that period, TriDyme deletes them, unless legally required to keep them. Broader reversibility assistance may be provided for in the Contract.

6.5 Statistics. TriDyme may produce aggregated and anonymised usage statistics, which identify neither the Client nor its assets, to improve its services.

Article 7 – Personal data

The processing of visitors’ and business contacts’ personal data is described in the privacy policy. Where TriDyme processes personal data on behalf of the Client within the Platform, it acts as a processor within the meaning of Article 28 GDPR, and a data processing agreement is entered into with the Client. This agreement, which sets out in particular the sub-processors and security measures, is appended to the Contract.

Article 8 – Calculations, AI and engineering liability

8.1 Tools. The Applications and the Platform’s calculation features are engineering support tools. Results depend on the data, assumptions and parameters provided or approved by the Client. Unless an engineering service is entrusted to TriDyme (Article 8.3), checking and interpreting Results and using them to design, build or operate a structure are the responsibility of the Client and its qualified engineers.

8.2 AI Proposals. AI agents do not perform structural calculations: they prepare the data, run the calculation engines and check their results. AI Proposals only change the Client’s reference data after approval by an authorised User, and every approval is logged. The Client remains responsible for approvals given by its Users.

8.3 Engineering services. Where TriDyme performs an engineering service or produces a deliverable whose calculations have been reviewed by an inspection body, its liability is that set out in the corresponding quote or Contract, within the limits of its professional insurance. TriDyme holds professional and ten-year liability insurance covering its structural engineering activity, a certificate of which is provided on request. The inspection body’s opinion covers the calculations it has reviewed and is not a certification of the services as a whole.

Article 9 – Intellectual property

9.1 TriDyme is and remains the owner of all rights in the Site, the Platform, the Applications it publishes, the generic ontology, the calculation engines, the workflows and their documentation. For the duration of its subscription, the Client is granted a personal, non-exclusive and non-transferable right of use, limited to its internal needs.

9.2 The Client shall not, in particular, copy, decompile or extract the services, resell them or make them available to third parties without TriDyme’s written consent.

9.3 Generic components developed by TriDyme during a deployment (connectors, object models, workflows) remain its property and may be reused, excluding any Client Data.

9.4 The Site’s trademarks, logos and content are protected; any unauthorised reproduction is prohibited.

Article 10 – Availability, maintenance and support

TriDyme uses reasonable efforts to keep the services available 24/7, subject to maintenance operations, planned and announced where possible, and to force majeure. Support is available at contact@tridyme.com. Service level commitments (availability, response times), if any, are set out in the Contract.

Article 11 – Security and acceptable use

The Client and its Users shall not: compromise the security or operation of the services; attempt to access other clients’ data; upload unlawful or malicious content; or use the services in breach of applicable laws or third-party rights. TriDyme may suspend access in the event of a serious breach or security risk, informing the Client as soon as possible.

Article 12 – Liability

12.1 Each party is liable for the direct damage it causes to the other party through a breach of its obligations.

12.2 TriDyme is not liable for indirect damage, such as loss of revenue, loss of business or reputational harm, nor for the consequences of inaccurate or incomplete data provided by the Client.

12.3 Except in the case of gross negligence or wilful misconduct, and unless the Contract provides otherwise, TriDyme’s total liability in respect of the services is limited to the amounts paid by the Client for the services concerned during the twelve (12) months preceding the event giving rise to liability.

12.4 These limitations do not apply to personal injury or where the law prohibits limiting liability.

Article 13 – Confidentiality

Each party keeps confidential the non-public information received from the other party (technical data, prices, commercial information) and uses it only to perform the services, for the duration of the Contract and five (5) years after it ends.

Article 14 – Term, termination and suspension

14.1 Self-service plans are entered into for the chosen period and renewed automatically, unless cancelled from the account or by email before the end of the current period. Other subscriptions have the term set out in the Contract.

14.2 If a party commits a serious breach that is not remedied within thirty (30) days of formal notice, the other party may terminate the Contract as of right, without prejudice to any damages.

14.3 When the Contract ends, access is closed, subject to the reversibility period in Article 6.4.

Article 15 – References

TriDyme only mentions the Client’s name, logo or projects as a commercial reference (website, presentations, case studies, quotes) with the Client’s prior written consent.

Article 16 – Changes to the Terms

TriDyme may amend the Terms. The new Terms are published on the Site and notified to subscribing Clients at least thirty (30) days before they take effect. A Client who refuses them may cancel its subscription before that date.

Article 17 – Governing law and disputes

The Terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution before taking any action. Failing that, exclusive jurisdiction is given to the courts having jurisdiction over TriDyme’s registered office (Pontoise, France), including for summary proceedings or where there are several defendants.
